Submission of Content For Publication by WhyPark, LLC In Plain English Submitting Your Content to Us We appreciate your willingness to submit content to us for publication via the Internet. There are two distinct ways that you can submit content to us. The first way is if you select to submit content to us via our submission form. The second way is for you to allow us to receive your content via your RSS feed. Should you select to provide us content via your RSS feed we will continue to publish your content until either you or we terminate this Agreement. If you have submitted your content via our content form, we shall, once again, continue to publish your content until either you or we terminate this Agreement. We cannot promise that we will publish everything that is submitted to us, so please do not be offended if we do not publish content that you offer to us. Your Copyright Belongs to You Assuming that you own the copyright to the content that you provide us, you will always own the copyright unless for some reason you sell the copyright to a third party. We do not obtain any ownership to your content pursuant to this Agreement. This Agreement gives us the right to publish your content, without payment to you, for as long as this Agreement is in effect. You shall at all times retain all right, title and interest in and to your content, including, without limitation, the copyrights therein and thereto, assuming you own the copyright in the first place. Consideration "Consideration," when used to refer to an Agreement, means "what are you getting?" For any Agreement to be legally binding, both sides have to "get" something. In our case, you are giving us the right to publish your content until and unless the Agreement is terminated by one of us. What are you getting? You are receiving the promotion value of us publishing your content. You will also receive a direct link from each of your articles in syndication back to your site along with a brief written overview of your site itself. And naturally, you are agreeing that such promotion as mentioned herein amounts to legally binding "consideration." Termination of this Agreement How long will this Agreement be in effect? Good question: it will remain in effect until either party terminates the Agreement. Termination takes place when either you or we email the other party and state that the party wishes to terminate the agreement at once. If you want to terminate this Agreement please email us at this address: support@whypark.com If you elect to terminate the Agreement we will need a reasonable amount of time to remove your content, if it was provided to us via our submission form, or cancel the RSS feed or otherwise take action to stop the publication of your content. We promise to remove your content if you terminate this Agreement within 30 days, but in most cases it will not take us 30 days to remove your content upon your termination of this Agreement. The Meaning of "Content" By "content," we mean whatever it is that you have submitted to us for publication, or allowed us to receive by way of RSS feed. Ultimately, that may mean text, graphics, video, audio, trademarks, tradenames, likenesses, photographs, artwork, or other graphical or textual material. Whatever your content is, you are allowing us to publish it on the World Wide Web without payment to you until and unless either you or we terminate this Agreement. When you grant us permission to publish your content, you are providing us a "license" to use your content. This license is non-exclusive, so you can publish your content elsewhere without our permission. The license is royalty free, because we are not paying you to use the content. Do Not Violate the Law, Please If you violate the law regarding the content you have sent us, in theory, we might find ourselves also legally responsible for publishing your content. So, you are required to agree to this: You represent and warrant that (a) the Content you submit is your own original work, and contains no material that you did not create yourself, or own or control yourself, (b) you have full right and power to enter into and perform this agreement, and have secured all third party consents necessary to enter into this agreement, (c) the Content you submit does not and will not infringe on any third party's copyright, patent, trademark, trade secret or other proprietary rights, rights of publicity or privacy, or moral rights (d) the Content you submit does not and will not violate any law, statute, ordinance or regulation; (e) the Content you submit is not and will not be defamatory, trade libelous, pornographic or obscene, (f) the Content you submit does not and will not contain any viruses or other programming routines that detrimentally interfere with computer systems or data, (g) all factual assertions that you have made and will make to us are true and complete, and (h) you are at least 18 years of age. You agree to indemnify and hold us harmless from any and all damages and costs, including reasonable attorney's fees, arising out of or related to your breach of the representations and warranties described in this section. You agree to execute and deliver documents to us, upon our reasonable request, that evidence or effectuate our rights under this agreement. These warranties shall survive any termination of this agreement. Our Disclaimer As circumstances outside of our control might effect the operation of our web site, the following Disclaimer is present in this Agreement, which you must agree to: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHYPARK LLC DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO (1) UNINTERRUPTED OR CONTINUOUS AVAILABILITY OF THE WEB SITE, AND (2) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO THE WEB SITE AND ANY SERVICES PROVIDED BY WHYPARK LLC HEREUNDER. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. No Liability For Consequential Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WHYPARK LLC BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE OUR WEB SITE, EVEN IF WHYPARK LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Jurisdiction and Other Needed Legal Elements: THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OHIO, WITHOUT REFERENCE TO CONFLICT OF LAWS PRINCIPLES. ANY DISPUTE BETWEEN YOU AND WHYPARK LLC REGARDING THIS AGREEMENT WILL BE SUBJECT TO THE EXCLUSIVE VENUE OF THE STATE AND FEDERAL COURTS IN THE STATE OF OHIO. Your sole remedy for a breach of this Agreement by WHYPARK LLC shall be an action at law for money damages, if any. You hereby waive any right to, or to seek, injunctive or other equitable relief in connection with any breach or alleged breach of this Agreement by WHYPARK LLC. This Agreement may not be amended unless an officer of WHYPARK LLC has approved and signed such an amendment in writing. You shall be solely responsible for providing all copyright notices and other legal notices in connection with your Content. If any provision of this Agreement is held invalid, the remainder of this Agreement will continue in full force and effect. This Agreement is the entire agreement between you and WHYPARK LLC and supersedes any other communications or advertising. You represent that you have carefully read this agreement, that you understand its contents, and that you have had an opportunity to seek independent legal advice with respect to the review and advisability of entering into this Agreement.
